Terms of service

1. Agreement to terms and scope
These Terms of Service (the "Terms") form a binding agreement between you and UCARI, Inc. ("UCARI," "we," "us," or "our"). By accessing or using the Services, creating an account, placing an order, registering a kit, using a portal, or selecting an acceptance control presented with these Terms, you agree to these Terms and the policies incorporated by reference.
The "Services" include UCARI's websites and online store, the customer account and results portal, the retailer portal, testing and reporting services, Ingredient Checker, UCARI-sponsored access to Nutrable and PetVet services, and any other UCARI-operated site, application, feature, communication channel, or service that links to these Terms.
Some provisions apply only to consumers, customer-portal users, retailers, subscribers, or users of a particular add-on. A service-specific provision controls over a conflicting general provision for that service. A signed order form or separately negotiated retailer agreement controls over these Terms to the extent of a direct conflict.
If you do not agree to these Terms, do not access or use the Services. Our Privacy Policy, Refund Policy, Shipping Policy, and other policies displayed at checkout or within a Service are incorporated into these Terms where applicable.
2. Eligibility and authority
You must be at least 18 years old and legally capable of entering a binding contract to create an account or use an authenticated Service. An adult may purchase or register an eligible kit for a child or pet when permitted by the applicable instructions and law. The adult represents that the adult is authorized to provide the related information and make decisions for that child or pet.
If you use the retailer portal for a business, you represent that you have authority to bind that business. In that case, "you" includes both you and the business. You may not use the Services if applicable law bars you from doing so or if UCARI previously suspended your access for violating these Terms.
3. Accounts and account security
Certain Services require an account. You agree to provide accurate, complete, and current information; maintain the confidentiality of your credentials; restrict access to your account; and promptly notify care@ucari.com of suspected unauthorized access. You are responsible for activity conducted through your account to the extent permitted by law.
Accounts are personal to the registered user or approved business and may not be sold, transferred, or shared except through functionality UCARI expressly provides. UCARI may require identity, business, or eligibility verification and may suspend or terminate accounts that contain inaccurate information, present security risks, or violate these Terms.
4. Products, testing services, and results
UCARI markets and sells intolerance testing kits and related products and services. Product descriptions, quantities screened, turnaround times, availability, packaging, and included materials may change. Images and descriptions are illustrative, and actual products or materials may vary where the variation does not materially reduce the purchased service.
You are responsible for registering the correct kit, following the current collection and mailing instructions, providing an adequate and properly identified sample, and verifying all submitted information. UCARI may be unable to process a sample that is insufficient, damaged, mislabeled, contaminated, received outside an applicable period, or not associated with a valid kit identifier.
UCARI's intolerance testing, reports, Ingredient Checker output, educational materials, and related wellness information are provided for general informational purposes. They are not medical or veterinary diagnoses, allergy tests, emergency services, or substitutes for advice, diagnosis, or treatment from a licensed physician, veterinarian, registered dietitian, or other appropriately qualified professional. Do not disregard professional advice or delay seeking it because of information supplied through the Services.
If you or an animal may be experiencing a severe allergic reaction or other emergency, contact emergency services, a poison-control resource, or an emergency veterinarian as appropriate. Do not use the Services to make an emergency decision.
5. Orders, payments, shipping, returns, and promotions
An order is an offer to purchase. UCARI may accept or reject an order and may cancel an accepted order for inventory, pricing, fraud, compliance, shipping, or other legitimate reasons. If UCARI cancels after payment, UCARI will issue the refund required by applicable law and its posted policies.
Prices, discounts, taxes, shipping charges, and other fees are shown at checkout and may change before an order is accepted. You authorize UCARI and the applicable payment provider to charge the payment method you provide, and you represent that you are authorized to use that method.
Square processes retailer payment transactions. Stripe processes subscription transactions. Shopify or another commerce provider may process store transactions. By submitting payment information, you authorize the applicable provider to process the transaction, including applicable fraud screening, payment authorization, settlement, refunds, disputes, and legally required compliance checks. Payment providers may apply their own terms and privacy notices to the services they independently provide.
Shipping estimates are not guarantees. Title and risk of loss transfer as provided by applicable law and the shipping terms displayed at purchase. Returns, refunds, replacements, and cancellations are governed by UCARI's then-current Refund Policy and any product-specific terms presented at checkout.
Promotions, bundles, trials, and included add-on access may have additional eligibility, duration, redemption, and expiration terms. Those terms form part of your agreement when you accept the offer.
6. Subscriptions and automatic renewal
If you enroll in a subscription, the price, billing interval, renewal terms, included products or services, minimum commitment if any, and cancellation method will be disclosed before enrollment. By enrolling, you authorize UCARI and Stripe to charge your selected payment method at the disclosed interval until you cancel or the subscription ends.
Unless otherwise stated at enrollment, a subscription renews automatically at the then-current disclosed price. You may cancel through the method provided in your account or subscription notice. Cancellation prevents future renewal charges but does not retroactively refund a charge that was already properly incurred, except where required by law or UCARI's posted refund terms. If a payment fails, UCARI or Stripe may retry the charge, request an updated payment method, limit subscription benefits, or suspend or terminate the subscription.
No PetVet or Nutrable charge begins merely because included UCARI-sponsored access expires. A separate purchase authorization is required unless you expressly enrolled in a disclosed renewal program.
7. Customer portal
The customer portal allows eligible users to register kits, submit information, access reports, use available tools, and manage portions of their account. UCARI grants you a limited, revocable, nonexclusive, nontransferable license to use the portal for its intended personal purposes in accordance with these Terms.
You may download or share your own report for personal use, but you may not access another person's account or results without authorization, circumvent access controls, or use portal information to build a competing database or service. You are responsible for deciding with an appropriate professional how to use information in a report.
8. Ingredient Checker and Anthropic Claude
Ingredient Checker compares ingredient information that you enter, scan, photograph, upload, or select against information associated with your UCARI results. UCARI uses automated technology, including Anthropic's Claude API, to help extract, interpret, match, classify, or summarize ingredient information and generate output.
Output depends on the completeness and accuracy of the source label, image quality, product formulation, database information, the information associated with your account, and the limitations of automated systems. Ingredient Checker and Claude may miss an ingredient, misread text, identify a false match, fail to recognize a synonym or derivative, or produce incomplete, inaccurate, or outdated information. Manufacturers may change formulations without notice. Always review the current physical product label and contact the manufacturer when necessary.
Ingredient Checker output is not an allergy-safety determination, medical or veterinary advice, or a guarantee that a product is safe or suitable. Do not rely on it to prevent or respond to an allergic reaction or emergency. People with diagnosed or suspected allergies and owners of animals with urgent symptoms should follow the instructions of an appropriate licensed professional.
Your use of Ingredient Checker authorizes UCARI to process the submitted label image or text, relevant product information, the UCARI result or profile selected for comparison, related instructions, and generated output as described in our Privacy Policy. You may not use Ingredient Checker to make unlawful, false, misleading, medical, veterinary, or product-safety claims.
9. Third-party add-on services
UCARI may provide eligible customers with access, credits, introductions, links, account activation, or other benefits for services operated by independent providers. A provider's own terms, privacy policy, professional-consent documents, and eligibility rules may apply when you activate or use its service. Review those documents before activation.
UCARI is responsible for its own representations, offers, account administration, and data-handling practices. The independent provider is responsible for the professional services, platform, advice, personnel, billing, and data-handling activities it controls. UCARI does not control or assume responsibility for an independent provider's professional judgment.
To activate an add-on, UCARI may ask you to authorize the transfer of limited contact, eligibility, account, health, nutrition, pet, or other information to the provider. The Privacy Policy and any activation notice describe the applicable transfer. You may be unable to use the add-on without information required to establish eligibility or deliver the service.
10. Nutrable nutrition services
Nutrable provides nutrition and lifestyle coaching through its own platform and personnel. Where UCARI includes Nutrable access with an eligible offer, the duration, scope, eligibility, and redemption process will be communicated with that offer. Nutrable, not UCARI, is responsible for the qualifications, supervision, advice, and service delivery of Nutrable personnel.
Nutrition coaching is not emergency care. The scope of the service, including whether it is general wellness coaching or regulated professional nutrition care, is determined by Nutrable's service description, the professional's credentials, and applicable law. Users should consult an appropriately licensed healthcare professional for diagnosis, treatment, medication questions, or urgent concerns.
If you purchase services directly from Nutrable, continue after included access ends, or select services outside the UCARI offer, Nutrable's disclosed fees and billing terms apply only after your separate authorization. Use of Nutrable is also subject to Nutrable's then-current terms and privacy policy.
11. PetVet veterinary services
The Pet Vet Connection, LLC ("PetVet") provides digital veterinary telehealth services, including video or chat access to veterinarians engaged by PetVet. PetVet and its veterinarians are responsible for their professional veterinary judgment, including any assessment, diagnosis, treatment recommendation, prescription, referral, or other veterinary care they provide. UCARI does not practice veterinary medicine and does not provide veterinary diagnosis or treatment.
PetVet services are not a substitute for in-person or emergency veterinary care when such care is appropriate. Availability, scope of practice, prescriptions, and the veterinarian-client-patient relationship may depend on location and applicable law. Contact an emergency veterinary facility for urgent or life-threatening conditions.
Access may be provided to eligible UCARI customers as a benefit associated with a qualifying purchase or program. The UCARI offer will state the included period and level of service. Included access is personal to the eligible customer and ends at the conclusion of the stated period unless otherwise disclosed.
The end of included PetVet access will not, by itself, create a recurring charge. Additional or continued paid PetVet services require you to receive and accept the applicable fees, billing terms, and recurring-payment terms before charges are incurred. Use of PetVet is also subject to PetVet's terms and Privacy Policy.
12. Retailer portal and wholesale activities
The retailer portal is available only to businesses approved by UCARI. UCARI may approve, refuse, suspend, or terminate retailer access based on legitimate commercial, compliance, security, credit, or brand-protection considerations. Approval does not create an exclusive territory, agency, franchise, employment, fiduciary, or partnership relationship.
Retailers must provide accurate business, resale, tax, shipping, and payment information and must promptly update it. Retailers are responsible for purchase orders submitted through their accounts, applicable taxes unless valid exemption documentation is accepted, and payment under the terms shown in the portal, invoice, order confirmation, or signed agreement. Retailer payments may be processed by Square.
Wholesale prices, unpublished promotions, product roadmaps, portal materials, and other nonpublic commercial information are UCARI confidential information. Retailers may use that information only to purchase and resell authorized UCARI products and may not disclose it except to personnel who need it for that purpose and are bound to protect it.
Retailers must market, store, handle, and resell UCARI products in accordance with applicable law, product instructions, expiration information, approved brand guidelines, and written channel restrictions. Retailers may not alter, relabel, tamper with, repackage, make unauthorized medical or performance claims about, or knowingly sell expired, damaged, counterfeit, or recalled products.
Retailers must cooperate with lawful recalls, safety notices, regulatory inquiries, and reasonable product-traceability requests. Retailer returns, credits, minimums, shipping, advertised-price rules, approved marketplaces, and geographic restrictions are governed by the commercial terms displayed in the portal or separately accepted by the retailer.
13. Acceptable use
You may not use the Services unlawfully; impersonate another person; misrepresent affiliation; interfere with security or operation; introduce malicious code; obtain unauthorized access; harvest credentials; scrape or extract data except as permitted by robots.txt and law; overload the Services; evade usage controls; infringe intellectual-property or privacy rights; submit false, misleading, threatening, defamatory, obscene, or harmful material; or use the Services to develop or support a competing product or database without written permission.
You may not upload information about another person, child, or pet unless you are authorized to do so. You may not use Ingredient Checker output, test results, or provider content to make false or misleading product, medical, nutrition, or veterinary claims.
14. User content and feedback
If you submit a public review, testimonial, recipe, photo, video, comment, or other material for public or promotional use ("User Content"), you represent that you have the necessary rights and that the content is accurate and lawful. You grant UCARI a nonexclusive, worldwide, royalty-free, sublicensable license to host, reproduce, display, distribute, adapt, and use that User Content to operate, improve, and promote the Services, subject to applicable law and any written usage restrictions UCARI accepts.
Personal health information, private account information, samples, test results, Ingredient Checker submissions, private customer-support communications, and private Nutrable or PetVet interactions are not User Content licensed for public or promotional use merely because they are submitted through a Service. UCARI handles that information under the Privacy Policy and applicable consent.
If you voluntarily provide suggestions or feedback about a Service, you grant UCARI a nonexclusive, worldwide, perpetual, irrevocable, royalty-free license to use and develop that feedback without compensation, provided UCARI does not publicly identify you without permission.
15. Intellectual property and limited license
The Services and their content, software, designs, databases, text, graphics, logos, trademarks, reports, and other materials are owned by UCARI or its licensors and are protected by intellectual-property laws. Except for rights expressly granted in these Terms, no right or license is transferred to you.
UCARI grants you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to access and use the Services for their intended purpose. You may not copy, modify, distribute, publicly display, sell, license, reverse engineer, create derivative works from, or commercially exploit the Services or content except as expressly authorized in writing or permitted by law.
16. Privacy and communications
UCARI's Privacy Policy explains how UCARI collects, uses, discloses, and protects personal information, including information processed by Shopify, Square, Stripe, Anthropic, and other providers. Independent providers may separately collect and control information under their own privacy policies.
Transactional communications about accounts, orders, subscriptions, results, security, and activated services are part of the Services. You may opt out of promotional communications using the instructions in the message, but doing so will not stop necessary transactional communications.
17. Third-party links and services
The Services may link to websites, applications, products, or services UCARI does not own or control. A link does not by itself mean UCARI endorses the third party. Third-party services are governed by their own terms and privacy practices, and you should review them before providing information or completing a transaction.
18. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, CONTENT, REPORTS, TOOLS, AND INFORMATION ARE PROVIDED "AS IS" AND "AS AVAILABLE." UCARI DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. UCARI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT OR AUTOMATED OUTPUT, INCLUDING OUTPUT GENERATED WITH ANTHROPIC CLAUDE, WILL BE COMPLETE OR ACCURATE.
This disclaimer does not limit any express product warranty, refund right, or consumer protection that cannot lawfully be excluded. PetVet and Nutrable are responsible for the professional or coaching services they independently provide, subject to their agreements and applicable law.
19. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, UCARI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including any nonwaivable consumer rights.
20. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless UCARI and its affiliates, officers, directors, employees, agents, licensors, and service providers from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful use of the Services, your material breach of these Terms, or your infringement of another person's rights.
A retailer additionally agrees to defend, indemnify, and hold those parties harmless from third-party claims arising from the retailer's unauthorized representations, alteration or mishandling of products, violation of resale restrictions, or failure to comply with applicable law. UCARI will provide reasonable notice and may control the defense, subject to applicable law.
21. Suspension, changes, and termination
UCARI may modify, suspend, or discontinue all or part of a Service and may restrict or terminate access for violations, security risks, legal requirements, provider changes, nonpayment, or discontinuation of a program. Where reasonable, UCARI will provide notice appropriate to the circumstances. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, indemnity, dispute terms, and accrued payment obligations.
UCARI may update these Terms. If a change is material, UCARI will provide notice through the applicable Service, email, or another reasonable method. The updated Terms will state their effective date. Where law requires new affirmative consent, UCARI will request it rather than relying solely on continued use.
22. Dispute resolution
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS LEGAL RIGHTS. Except for eligible individual matters in small claims court and claims that applicable law does not permit to be arbitrated, disputes arising from these Terms, UCARI products, or the Services will be resolved through binding individual arbitration administered by the American Arbitration Association under its applicable rules. The Federal Arbitration Act governs this arbitration provision. You and UCARI waive trial by jury and participation in class, collective, consolidated, or representative proceedings to the extent permitted by law.
Consumer disputes will use the AAA Consumer Arbitration Rules. Disputes involving a retailer acting in a commercial capacity will use the AAA Commercial Arbitration Rules unless a signed agreement states otherwise. Either party may seek temporary injunctive relief from a court with jurisdiction to protect confidential information, security, or intellectual-property rights while arbitration is pending.
23. Governing law and time to bring claims
Florida law governs these Terms without regard to conflict-of-law principles, except to the extent federal law or a nonwaivable law of your residence applies. Subject to the arbitration provision, state and federal courts in Florida with jurisdiction over the dispute may hear permitted court proceedings.
To the extent permitted by law, a claim relating to the Services or these Terms must be brought within one year after it accrues. This limitation does not apply where applicable law requires a longer period or does not permit contractual shortening.
24. Copyright notices
If you believe material on a UCARI Service infringes your copyright, send a notice satisfying 17 U.S.C. section 512(c)(3) to UCARI's designated agent: Patrick Pirozak, UCARI, P.O. Box 290579, Port Orange, Florida 32129; care@ucari.com. UCARI may update its designated-agent information, and the current information in the U.S. Copyright Office directory controls.
25. Miscellaneous
If any provision is unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without UCARI's written consent; UCARI may assign them in connection with a merger, financing, reorganization, sale of assets, or operation of the Services. Section headings are for convenience only.
These Terms, the incorporated policies, applicable offer terms, and any signed order form constitute the agreement between you and UCARI concerning the Services and supersede prior communications on that subject. Independent-provider terms govern your direct relationship with the provider and do not make UCARI a party to professional services delivered by that provider.
